Our Approach
A different kind of development partner.
Most property capital in Australia is intermediated — investors put money in one end, engineers and builders sit at the other, and returns are eroded by the layers in between.
EBNI closes that gap. We are structural, civil and geotechnical engineers first, running projects we ourselves have designed and de-risked. When you invest alongside us, you're not backing a marketing pitch — you're backing engineering judgment, held accountable through project-level SPVs and clear waterfall economics
01
Engineers on the cap table
Every project we raise capital for is one our own engineers have designed, costed and stress-tested. Skin in the game, not spreadsheet optimism.
02
Project-by-project SPVs
Each opportunity sits in its own special-purpose vehicle. Ring-fenced risk, transparent economics, no cross-collateralisation between deals.
03
Wholesale-only, deal-first
We offer to sophisticated / wholesale investors under s708 of the Corporations Act. No public fundraising, no retail promises.
04
Aligned waterfall
Investors are paid preferred returns before we take promote. Our upside sits on top of yours, not in front of it.
Investment Pathways
Three ways to invest with EBNI.
Each pathway is offered exclusively to wholesale and sophisticated investors within the meaning of s708 of the Corporations Act 2001. Indicative return ranges are targets, not guarantees.
PATHWAY 01
Project SPV Equity
Co-invest directly into the special-purpose vehicle that owns a specific EBNI development. Share in the residual profit after senior debt and preferred returns are paid.
Structure
Unit trust / SPV
Typical ticket
$100k - $2m
Term
18 - 36 months
Target IRR
13 - 20% p.a.
Distribution
On Project Completion
Risk profile: Higher. Equity capital ranks last on the waterfall — full downside exposure to cost, market and delivery risk. Suited to investors comfortable with capital-at-risk over a multi-year horizon
PATHWAY 02
Preferred Equity & Mezzanine
Fixed-return capital ranking behind senior debt and ahead of ordinary equity. Predictable income, secured by the underlying project, typically over a defined 12–24 month term
Structure
Pref units / mezz debt
Typical ticket
$250k – $5m
Term
12 – 24 months
Target IRR
10 – 13% p.a.
Distribution
Quarterly / on exit
Risk profile: Moderate. Ranks ahead of ordinary equity but behind senior debt; returns are contractual, not equity-linked. Suited to income-oriented investors seeking above-market yield with defined tenor.
PATHWAY 03
Joint Venture Partnership
Larger capital partners, family offices and landowners who co-develop with EBNI at project or programme level. Bespoke governance, shared economics, aligned promote.
Structure
JV / co-development
Typical ticket
$2m – $25m+
Term
Programmatic
Economics
Negotiated per deal
Distribution
Board seat available
Risk profile: Bespoke. JV partners share in development and delivery risk with governance rights proportional to contribution. Suited to institutional and family-office capital seeking programmatic exposure.
† Indicative target returns are pre-tax, net of fund-level fees, and are not guaranteed. Actual returns will depend on project performance and prevailing market conditions. See risk disclosures below.

Governance & Risk
How we protect your capital.
Property development carries real risk. We don't pretend otherwise — we structure around it.
Independent trustee & audit
SPVs are administered with independent legal and accounting oversight. Financials are audited annually and reported quarterly to investors.
Senior debt discipline
We work only with established tier-1 and tier-2 construction lenders. Gearing is capped at conservative LVRs, with valuation covenants and monthly QS oversight.
Fixed-price where possible
Head contracts are procured on fixed-price / D&C bases wherever feasible to insulate the project economics from build-cost drift.
Ring-fenced SPVs
Each project sits in its own vehicle. A single project's underperformance cannot infect the returns of another, and there is no cross-collateralisation across deals.
Alignment through promote
EBNI's carry is subordinated to investor preferred returns. We only earn our upside once your target IRR has been achieved.
Insurance stack
Full professional indemnity, contract works, public liability and warranty insurances are held at project level in line with NSW licensing requirements.
REGISTER INTEREST
Start the conversation.
Registering your interest is not a commitment. We'll share our current investor pack and, if there's mutual fit, invite you into the qualification process for a specific opportunity.

FAQ
Questions investors usually ask.
Our opportunities are available only to wholesale or sophisticated investors as defined in s708 of the Corporations Act 2001. In practice this generally means net assets of at least $2.5m or gross income of $250k+ p.a. for the past two years (certified by a qualified accountant), or investing $500k+ in a single offer. We will guide you through the certification process.
Target returns vary by pathway (see above). These are targets, not guarantees. Property development carries real risk of capital loss. Actual returns depend on project outcomes, market conditions at exit, cost movements, and delivery timing. Every information memorandum we issue includes a detailed risk register and downside sensitivity analysis.
Each project sits in a ring-fenced SPV with independent trustee, auditor and legal counsel. Senior debt is capped at conservative LVRs. Preferred-equity investors rank ahead of ordinary equity on the waterfall. That said, no structure eliminates risk — you should be prepared for the possibility of partial or total loss of capital.
We charge a project-level management fee (typically 1.5–2% p.a. of committed capital) and a performance promote that only vests once investor preferred returns are met. Fees are disclosed in full in each information memorandum before you commit.
Yes, provided the SMSF meets the wholesale-investor test in its own right and the investment is consistent with your fund's investment strategy and sole-purpose test. We strongly recommend obtaining licensed SMSF and tax advice before proceeding.
Not very. These are illiquid, closed-ended positions. Capital is typically locked in until project completion (12–36 months depending on pathway). There is no secondary market. You should invest only capital you can afford to have tied up for the full term.
